The following are regular tasks; this list is to demonstrate the range of typical tasks and
not meant to list all tasks, sub-tasks and details.
For the group's management services companies:- Government reporting
File statutory forms with MCA 21 and ROC: MGT-7, AOC-4, DPT-3, MSME-1,
BEN-2, AOC-5
...
Liaise with external parties where applicable and ensure timely submission of Annual Returns.
Coordinate Secretarial Audit (MR-3), Annual Report (Directors' Report, Corporate Governance Report).Registered directors and investment professionals
Manage director lifecycle and/or ensure that local CS firms maintain the process where applicable: DIN registration, DSC preparation, DIR-12, KYC (DIR-3 KYC),onboarding, KYC, annual declarations (MBP-1, DIR-8, and MAS fitness
declaration), change of residential and work addresses.
Manage change-of-director filings, resignation and appointment processes
across all jurisdictions. Handle Power of Attorney, affidavits, notarizations, and apostille requirements.
Support Singapore's MAS notifications for change of directors, board seat
changes, and investment representative cessations.
For the Funds, investment holding companies, investments and special purpose vehicles:-
Liaise with portfolio companies' company secretaries and agents across jurisdictions for Board minutes, notices, Board representations, changes in
capital structures to track funds' ownership percentages.
Manage RBI/FEMA compliance - FCTRS, FCGPRS, ODI/FDI filings, Foreign Liabilities & Assets (FLA) survey, ReKYC.
Manage demat account administration with agent, HDFC Bank.
Support investor servicing through their request for funds' KYC / AML periodic updates.
Maintain fund documentation - LLP/trust deeds, contribution agreements, private placement memorandums.
Assist in the application for PAN & TAN for any new entities in India.
Oversee local CS firms' handling of any constitution amendments, life extensions of fund entities where applicable.
